US Company Formation for Technology Startups

Delaware is commonly considered for venture-backed technology startups, while Wyoming may be considered for certain bootstrapped or remote-first businesses. The best state ultimately depends on fundraising, operations, employees, nexus, ownership and tax circumstances.

Quick answer

Delaware C-Corporation or Wyoming LLC for a tech startup?

If you expect priced institutional investment, preferred shares and an employee option pool, a Delaware C-Corporation is generally the better fit because US venture investors are most familiar with it. If you are bootstrapped, closely held and remote with no investor requirement, a Wyoming LLC can be a lighter structure — and can be restructured later, at a cost.

Tech startup decision tree

  1. Planning institutional VC?

    If yes — consider a Delaware C-Corporation.

  2. If no — remote or bootstrapped?

If yes — compare a Wyoming LLC, New Mexico LLC and Delaware LLC.

  3. If no — where are operations and employees located?

Analyse that state's registration, payroll and tax obligations first.

  4. In every branch

Federal tax and information reporting, plus sales-tax nexus where you sell, are assessed on your own facts.

This is educational guidance. It is not a legal or tax determination on your structure.

Delaware C-Corporation for SaaS, AI and technology startups

Founder shares → seed funding → SAFE or convertible financing → preferred stock → employee options → Series A/B/C → acquisition or exit.

Founder shares

Common stock issued to founders with vesting, an IP assignment from each founder, and a clean cap table from day one.

Seed & convertible financing

SAFEs or convertible notes ahead of a priced round, with the dilution consequences modelled before you sign.

Preferred stock

Series seed or Series A preferred with liquidation preference, protective provisions and board composition.

Employee options

An option pool over corporate stock, with a valuation basis and grant administration that survives due diligence.

Series A / B / C

Repeat rounds without re-papering the entity — one of the practical reasons the corporate form is used.

Acquisition or exit

Familiar merger mechanics, shareholder approvals and diligence expectations for acquirers.

The corporate form is often more compatible with institutional capital than a simple LLC. That is a funding and governance argument — it says nothing about which state carries the lowest tax cost.

  • • Founder equity, vesting and full IP assignment into the company
  • • International developers and contractor agreements
  • • Transfer pricing where development sits in another group company
  • • Data protection and privacy commitments to customers
  • • Accounting for cloud, compute and R&D costs, with R&D treatment subject to current law

Where founders go wrong

  • • IP left with individuals or an offshore company
  • • Option promises made before a plan exists
  • • Related-party development billed with no agreement or arm's-length basis
  • • Assuming the formation state settles the tax position
